Affiliate Program Agreement

This Affiliate Program Agreement ("Agreement") is between Garage Sale HQ ("Company," "we," "us") and you ("Affiliate," "you"). By applying to or participating in the Garage Sale HQ Affiliate Program, you agree to be bound by this Agreement in addition to our Terms of Service and Privacy Policy.

1. Program Overview

The Garage Sale HQ Affiliate Program is an invite-only program that allows approved participants to earn commissions by referring new paying subscribers to Garage Sale HQ Pro. Participation is subject to approval and compliance with this Agreement.

2. Eligibility & Enrollment

• You must have an active Garage Sale HQ account to apply.
• Applications are reviewed within 48 hours. We may approve or deny any application at our sole discretion without providing a reason.
• Upon approval, you will receive a unique affiliate code and referral link.
• You may not apply using multiple accounts or on behalf of others without written permission.

3. Commission Structure

• Rate: 15% of each successful Pro subscription payment made by a customer you referred.
• Duration: Commissions are earned for as long as the referred customer remains an active, paying subscriber. If the customer cancels, lets their subscription lapse, or their payment fails, commissions for that customer stop immediately. There is no grace period.
• Re-subscriptions: If a referred customer cancels and later re-subscribes, you will not earn commissions on the new subscription unless they use your referral link again at sign-up.
• Attribution: Referrals are attributed to the affiliate whose referral code or link was used at the time of registration. First-touch attribution applies; if a customer uses multiple referral codes, only the first is credited.
• Commission calculation: Commissions are calculated on the actual amount paid by the customer after any discounts, not the list price.

4. Payouts

• Minimum payout: $25.00 USD.
• Payment method: Payouts are processed via Stripe Connect to your connected bank account. You must complete Stripe Connect onboarding before requesting a payout.
• Schedule: Payouts are available on demand once your balance meets the minimum threshold. Processing typically takes 2-5 business days.
• Currency: All commissions are calculated and paid in US Dollars (USD).

5. Refunds & Clawbacks

If a referred customer receives a refund, chargeback, or disputed payment, the corresponding commission will be deducted from your affiliate balance. If your balance is insufficient, the deduction will be applied to future commissions.

6. FTC Disclosure Requirements

You must clearly and conspicuously disclose your affiliate relationship with Garage Sale HQ in all promotional content, in compliance with the Federal Trade Commission (FTC) Endorsement Guides (16 CFR Part 255). This includes but is not limited to:

• Blog posts, articles, and website content
• Social media posts (YouTube, TikTok, Instagram, Facebook, X/Twitter, etc.)
• Email newsletters and direct messages
• Podcast episodes and video content

Acceptable disclosure examples: "This contains an affiliate link — I may earn a commission if you sign up" or "#ad #affiliate #sponsored." The disclosure must be near the affiliate link, not buried in a bio or footer. Failure to disclose may result in immediate removal from the program.

7. Prohibited Activities

You may NOT:

• Use paid search ads (PPC) that bid on "Garage Sale HQ" or similar branded terms
• Create fake reviews, misleading claims, or deceptive content about Garage Sale HQ
• Send unsolicited email (spam), bulk messages, or use bots to promote your link
• Use cookie stuffing, click fraud, or any other deceptive tracking manipulation
• Refer yourself or accounts you control to earn commissions
• Misrepresent the features, pricing, or functionality of Garage Sale HQ
• Post your affiliate link on coupon or deal aggregator sites without prior written approval
• Use Garage Sale HQ trademarks, logos, or brand assets in ways that imply official endorsement without written permission

8. Independent Contractor Status

You are an independent contractor, not an employee, agent, joint venturer, or partner of Garage Sale HQ. This Agreement does not create an employment relationship. You have no authority to bind or make commitments on behalf of the Company.

9. Tax Responsibility

You are solely responsible for reporting and paying all taxes on commissions earned through this program. Garage Sale HQ does not withhold taxes. For US-based affiliates earning $600 or more in a calendar year, we may request a W-9 form and issue a 1099-NEC.

10. Intellectual Property

Garage Sale HQ grants you a limited, non-exclusive, revocable license to use our name and logo solely for the purpose of promoting the affiliate program. You may not alter our logos, create derivative works, or use our brand in a way that implies official sponsorship or endorsement without written approval.

11. Confidentiality

Commission rates, conversion data, earnings, and program-specific information shared with you are confidential. You may not publicly share exact commission amounts, internal conversion rates, or program performance metrics without written permission.

12. Termination

• Either party may terminate this Agreement at any time, with or without cause.
• Upon termination, your affiliate code will be deactivated and no further commissions will accrue.
• Any unpaid commissions above the $25 minimum threshold that were earned before termination will be paid out within 30 days, provided no violations of this Agreement occurred.
• Commissions earned through fraudulent or prohibited activity will be forfeited.

13. Modification

We reserve the right to modify this Agreement, including commission rates, payout thresholds, and program terms, at any time. We will notify active affiliates of material changes via email at least 14 days before they take effect. Continued participation after the effective date constitutes acceptance of the modified terms.

14. Limitation of Liability

Garage Sale HQ is not liable for any indirect, incidental, or consequential damages arising from your participation in the affiliate program. Our total liability is limited to the unpaid commissions in your account at the time of any claim.

15. Governing Law

This Agreement is governed by the laws of the State of Florida, United States, without regard to conflict of law principles. Any disputes arising from this Agreement will be resolved through binding arbitration in Volusia County, Florida.

16. Indemnification

You agree to indemnify, defend, and hold harmless Garage Sale HQ, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your promotional activities, violation of this Agreement, or breach of any law or regulation.

17. Entire Agreement

This Agreement, together with our Terms of Service and Privacy Policy, constitutes the entire agreement between you and Garage Sale HQ regarding the Affiliate Program and supersedes all prior agreements or understandings.
